Terms of use

1. Introduction and Acceptance

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Armchats Inc., a Delaware corporation ("Armchats," "we," "us," or "our"), and its affiliated entities, including Armchats Armenia LLC, an Armenian limited liability company, governing your access to and use of the Armchats platform, including the consumer application and related services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

If you register as a Business User, your use of the Platform is also governed by the Business User Terms of Service ("Business Terms"), which supplement these Terms. By accepting the Business Terms, you agree to comply with both these Terms and the Business Terms. In the event of any conflict between these Terms and the Business Terms with respect to Business User-specific matters, the Business Terms shall prevail.

Your use of the Platform is also subject to our Community Guidelines, which establish standards of conduct for all users, and Privacy Policy, which govern how we collect, use, disclose, and protect your personal information, and are incorporated into these Terms by reference.

2. Definitions

"Business User" means a service provider, company, or freelancer who registers to list services on the Platform through the Armchats Business Application and who has accepted the Business User Terms of Service.

"Consumer User" means an individual who uses the Platform to discover and connect with service providers.

"Content" means any text, images, data, information, or other materials submitted, posted, or displayed on the Platform.

"Services" means the service discovery, matching, and navigation features provided through the Platform.

"AI Features" means the artificial intelligence-powered chat interface and intent-driven matching functionality powered by third-party large language models.

"Minor User" means a User who is at least fourteen (14) years of age but has not yet reached the age of eighteen (18).

"Age-Restricted Services" means services, events, or transactions listed on the Platform that are available only to Users who have attained the age of eighteen (18), including services involving contractual obligations beyond small everyday transactions, age-restricted service categories, and events designated as 18+.

"Business Terms" means the Business User Terms of Service, a supplemental agreement governing the rights and obligations of Business Users.

3. Eligibility and Age Requirements

3.1 General Eligibility

You must be at least fourteen (14) years of age to use the Platform. By using the Platform, you represent and warrant that you meet the applicable age requirements set forth in this Section. No person under the age of fourteen (14) may create an account, use the Platform, or provide any personal data to Armchats.

3.2 Tiered Age Requirements

The Platform offers different services with varying age requirements. These tiers are designed in accordance with the Civil Code and the Law on Protection of Personal Data of the Republic of Armenia

(a) Users Age 14 to 15 (Limited Access, Parental Consent Required):

Users in this age group may access the Platform only with the verified consent and ongoing supervision of a parent or legal guardian. Available features include:

• General service discovery and browsing
• Account creation (subject to parental consent verification)
• Saving favorites and preferences
• General chat interactions for service discovery
• Transactions classified as small everyday transactions within the meaning of Article 30(2) of the Armenian Civil Code

Users in this age group may NOT:

• Access or view Age-Restricted Services
• Book, reserve, or initiate transactions for events or services designated as 18+
• Enter into contractual obligations beyond small everyday transactions
• Initiate direct contact with service providers without parental consent

(b) Users Age 16 to 17 (Standard Access):

Users in this age group may use the Platform without separate parental consent for data processing, in accordance with the Armenian Law on Protection of Personal Data (Article 9(9)). Available features include:

• Full chat functionality
• Location-based service discovery
• Direct contact initiation with service providers
• Participation in events and services designated as appropriate for their age group

Users in this age group may NOT:

• Access or view Age-Restricted Services
• Book, reserve, or initiate transactions for events or services designated as 18+
• Enter into contractual obligations that require full civil dispositive capacity under Armenian law

(c) Users Age 18 and Older (Full Access):

Users who have attained the age of eighteen (18) have full access to all Platform features, including:

• Discovery of Age-Restricted Services
• Booking and reservation of all events, including 18+ events
• Services involving contractual obligations
• All features available to younger user tiers
• Registration as a Business User (subject to acceptance of the Business Terms)

3.3 Parental Consent and Controls

(a) Consent Requirement. If you are between 14 and 15 years of age, you may only use the Platform with the verified consent of a parent or legal guardian. Your parent or guardian must review and agree to these Terms on your behalf.

(b) Parental Consent Verification. We implement the following mechanisms to verify parental consent:

• Parent or guardian email verification: Upon registration by a user who indicates they are 14 or 15, a consent request is sent to a parent or guardian email address provided by the user. The parent or guardian must confirm consent by following the verification link and accepting these Terms.
• We reserve the right to require additional verification, including but not limited to signed consent forms or identity verification of the parent or guardian.

(c) Parental Controls. Parents and legal guardians of Minor Users may:

• Review the Minor User's account information and activity
• Request restriction or deletion of the Minor User's account
• Withdraw consent at any time, which will result in suspension of the Minor User's account
• Contact us at support@armchats.com to exercise any of these rights

(d) Liability of Legal Representatives. In accordance with Armenian Civil Code, parents, adoptive parents, or curators bear supplementary liability for transactions conducted by Minor Users aged 14 to 17 where required by law.

3.4 Age-Restricted Services: Safeguards

(a) Technical Restrictions. The Platform implements technical safeguards to prevent Minor Users (under 18) from accessing Age-Restricted Services:

• Age-Restricted Services and events are not displayed to users whose registered age is below 18
• Search results, recommendations, and AI-generated suggestions are filtered to exclude Age-Restricted Services for Minor Users
• Booking, reservation, and transaction functions for Age-Restricted Services are technically disabled for accounts registered to Minor Users

(b) Age Verification for Age-Restricted Services. To access Age-Restricted Services, users must:

• Have indicated an age of 18 or older at registration
• Confirm their age through a secondary verification prompt when first accessing an Age-Restricted Service category

We reserve the right to implement additional age verification measures, including government-issued identification verification, as required by applicable law or at our discretion.

(c) Prohibitions. It is a violation of these Terms for any user to:

• Misrepresent their age to access Age-Restricted Services
• Assist a minor in accessing Age-Restricted Services

3.5 Jurisdictional Variations

In jurisdictions where the minimum age for data processing consent differs from Armenia's threshold of 16, users below the applicable age may only use the Platform with verifiable parental consent. In European Union member states where the GDPR digital age of consent is 16 (or as low as 13 in member states that have set a lower threshold), we comply with that jurisdiction's requirements.

3.6 Age Verification

We reserve the right to request proof of age at any time. If we have reason to believe you do not meet the applicable age requirements for any feature or service, we may suspend or terminate your account or restrict access to specific features.

4. Account Registration

4.1 Account Creation

To access certain features of the Platform, you must create an account by providing accurate and complete information, including a valid email address. During registration, you must provide your date of birth accurately. Providing a false date of birth is grounds for immediate account termination.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 One Account Per User

Each user may maintain only one account.

5. Platform Description and Role

5.1 Discovery Platform Only

The Platform is a service discovery platform that allows users to find local and online services through an intent-driven chat interface. The Platform functions as:

• A discovery and navigation layer
• A neutral intermediary between consumers and service providers
• An intent interpretation and matching system

5.2 What Armchats Is Not

Armchats is not a service provider. The Platform does not deliver services, employ specialists, or guarantee outcomes. It provides infrastructure, visibility, and governance only.

The Platform does not provide and shall not be construed as providing:

• Medical advice, diagnosis, or treatment
• Legal advice or legal services
• Financial or investment advice
• Therapeutic or counseling services
• Professional judgment of any kind

5.3 No Guarantees

Armchats does not guarantee:

• Ranking position or equal exposure
• Availability of any service or provider
• Quality, accuracy, or outcomes of services
• Accuracy of third-party data
• Response from service providers

5.4 User Actions

Consumer Users may:

• Discover services
• View business profiles
• Save or favorite services
• Initiate contact via external channels

Armchats does not book appointments, process payments, guarantee responses, or mediate disputes between users and service providers.

6. User Conduct and Prohibited Activities

6.1 General Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not use the Platform in any manner that could damage, disable, overburden, or impair the Platform. You must also comply with the Community Guidelines, Violation of the Community Guidelines constitutes a violation of these Terms.

6.2 Prohibited Activities

You agree not to:

(a) Violate any applicable law, regulation, or third-party rights;

(b) Provide false, misleading, or inaccurate information, including misrepresenting your age;

(c) Impersonate any person or entity or misrepresent your affiliation;

(d) Interfere with or disrupt the Platform or servers or networks connected to the Platform;

(e) Attempt to gain unauthorized access to any portion of the Platform;

(f) Use any robot, spider, scraper, or other automated means to access the Platform;

(g) Collect or harvest any personally identifiable information from the Platform;

(h) Use the Platform to transmit any viruses, malware, or other malicious code;

(i) Engage in any activity that constitutes harassment, abuse, or threats;

(j) Use the Platform for any commercial purpose not expressly permitted;

(k) Circumvent, disable, or otherwise interfere with security-related features, including age-restriction controls;

(l) Attempt to manipulate search results, rankings, or AI responses;

(m) Assist any person in circumventing age restrictions or accessing services for which they are not eligible.

7. AI-Powered Features

7.1 Nature of AI Features

The Platform utilizes artificial intelligence, including third-party large language models, to power the chat interface and service matching functionality.

7.2 AI Limitations and Disclaimers

You acknowledge and agree that:

(a) No Professional Advice. AI-generated responses are for informational and discovery purposes only. They do not constitute professional advice of any kind, including medical, legal, financial, or therapeutic advice.

(b) Accuracy Not Guaranteed. AI responses may contain errors, inaccuracies, or outdated information. You should independently verify any information before relying on it.

(c) No Substitute for Professional Judgment. AI features are designed to assist with service discovery, not to replace professional consultation. For medical, legal, or other professional matters, you must consult qualified professionals.

(d) Rapid Transition to Discovery. When queries involve medical or legal topics, the system provides only high-level, general information using non-diagnostic, non-authoritative language and rapidly transitions to professional service discovery.

(e) Intent Interpretation. The AI interprets user intent to facilitate service matching but does not assume authority or make decisions on your behalf.

(f) Age-Appropriate Filtering. For Minor Users, AI responses are filtered to exclude Age-Restricted Services and content. The AI does not replace parental supervision, and parents or guardians remain responsible for monitoring their child's interactions with AI Features.

7.3 User Responsibility

You are solely responsible for:

• Evaluating the appropriateness of AI-generated suggestions
• Making your own decisions regarding service providers
• Verifying credentials and qualifications of any service provider
• Any actions taken based on AI-generated content

8. Third-Party Services and Content

8.1 Third-Party Service Providers

Service providers listed on the Platform are independent third parties, not employees, agents, or representatives of Armchats. Armchats does not endorse, warrant, or guarantee any service provider or their services.

8.2 External Search Results

When internal results are unavailable, the Platform may perform external searches using third-party sources such as maps and directories. Armchats does not control the accuracy of third-party listings, availability of services, or external business practices.

8.3 Third-Party Infrastructure

The Platform utilizes third-party services for hosting, payment processing, communications, analytics, content delivery, and AI functionality, including but not limited to Google Cloud, Stripe, SendGrid (Twilio), Cloudflare, and Google Gemini. Your use of the Platform is also subject to the terms and policies of these third-party providers. Details regarding data shared with each provider are set forth in our Privacy Policy.

8.4 External Links

The Platform may contain links to third-party websites or services. Armchats is not responsible for the content, privacy practices, or availability of such external sites.

9. Intellectual Property

9.1 Armchats Ownership

Armchats Inc. and its licensors own all right, title, and interest in and to the Platform, including all software, design, systems, workflows, trademarks, and other intellectual property.

9.2 User Content

You retain ownership of Content you submit to the Platform. By submitting Content, you grant Armchats a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute such Content solely for the purpose of operating and improving the Platform.

9.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Platform;
• Reverse engineer, decompile, or disassemble any part of the Platform;
• Remove any proprietary notices from the Platform;
• Use Armchats' trademarks without prior written consent.

10. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data collection and use practices.

11. Disclaimers

11.1 "As Is" Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Warranty of Results

ARMCHATS DOES NOT WARRANT THAT:

• THE PLATFORM WILL MEET YOUR REQUIREMENTS;
• THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• THE RESULTS OBTAINED FROM THE PLATFORM WILL BE ACCURATE OR RELIABLE;
• ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.

11.3 Service Provider Disclaimer

ARMCHATS DOES NOT WARRANT OR GUARANTEE:

• THE QUALITY, SAFETY, OR LEGALITY OF SERVICES OFFERED BY SERVICE PROVIDERS;
• THE TRUTH OR ACCURACY OF SERVICE PROVIDER LISTINGS;
• THE QUALIFICATIONS, CREDENTIALS, OR LICENSES OF SERVICE PROVIDERS;
• THE ABILITY OF SERVICE PROVIDERS TO PERFORM SERVICES;
• THAT SERVICE PROVIDERS WILL COMPLETE TRANSACTIONS.

11.4 AI Disclaimer

ARMCHATS DOES NOT WARRANT THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. AI FEATURES ARE PROVIDED FOR INFORMATIONAL AND DISCOVERY PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE.

11.5 Minor User Disclaimer

ARMCHATS IMPLEMENTS REASONABLE TECHNICAL SAFEGUARDS TO RESTRICT MINOR USER ACCESS TO AGE-RESTRICTED SERVICES BUT DOES NOT GUARANTEE THAT SUCH SAFEGUARDS ARE INFALLIBLE. PARENTS AND LEGAL GUARDIANS ARE RESPONSIBLE FOR SUPERVISING MINOR USERS' USE OF THE PLATFORM. ARMCHATS DOES NOT ASSUME PARENTAL OR GUARDIAN RESPONSIBILITY.

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARMCHATS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER ARMCHATS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARMCHATS' TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO ARMCHATS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100) (FOR DISPUTES RELATED TO THE US JURISDICTION) OR FORTY THOUSAND DRAMS (40,000AMD) (FOR DISPUTES RELATED TO THE ARMENIAN JURISDICTION).

12.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12.4 Jurisdictional Limitations

SOME JURISDICTIONS, INCLUDING THE REPUBLIC OF ARMENIA AND MEMBER STATES OF THE EUROPEAN UNION, DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

13. Indemnification

You agree to indemnify, defend, and hold harmless Armchats, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

(a) Your use of the Platform;

(b) Your violation of these Terms;

(c) Your violation of any rights of any third party;

(d) Your Content;

(e) Any dispute between you and any service provider;

(f) Any misrepresentation of your age or the age of any person using your account.

14. Termination

14.1 Termination by You

You may terminate your account at any time by initiating the deletion process through the Platform. Account deletion requires email confirmation.

14.2 Retention Period

Upon deletion request:

• For Consumer Users: Data is retained for one (1) month, during which reactivation is possible. After this period, data is permanently deleted.
• For Business Users: As set forth in the Business Terms.

14.3 Termination by Armchats

Armchats may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms or the Business Terms;
• Violation of the Community Guidelines and/or Privacy Policy;
• Fraudulent, abusive, or illegal activity;
• Misrepresentation of age;
• Conduct harmful to other users or third parties;
• Conduct harmful to Armchats' business interests.

14.4 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination shall survive, including Sections 9, 11, 12, 13, and 15.

15. Governing Law and Dispute Resolution

15.1 Split Governing Law

These Terms shall be governed by and construed as follows:

(a) Matters Pertaining to Intellectual Property, Platform Ownership, and the Delaware Entity: All disputes, claims, or matters arising out of or relating to intellectual property rights, Platform ownership, licensing, corporate matters pertaining to Armchats Inc. (the Delaware corporation), and any matters that reasonably pertain to the Delaware entity shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

(b) Local Transactions and Operational Matters: All disputes, claims, or matters arising out of or relating to local transactions, service delivery, consumer protection matters, age-related compliance, and operational activities conducted through Armchats Armenia LLC within the Republic of Armenia shall be governed by and construed in accordance with the laws of the Republic of Armenia, including the Armenian Civil Code and the Law of the Republic of Armenia on Protection of Personal Data.

15.2 Jurisdiction and Venue

(a) Delaware Jurisdiction: For matters governed by Delaware law under Section 15.1(a), you agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you waive any objection to venue in such courts.

(b) Armenian Jurisdiction: For matters governed by Armenian law under Section 15.1(b), disputes shall be resolved in the courts of the Republic of Armenia in accordance with applicable Armenian procedural law.

15.3 Determination of Applicable Law

In the event of a dispute regarding which governing law applies, the following principles shall guide determination:

• Disputes involving Platform software, AI technology, trademarks, copyrights, patents, or trade secrets → Delaware law
• Disputes involving local service transactions, consumer complaints regarding local services, age-eligibility and parental consent matters, or matters specific to Armenian operations → Armenian law
• Mixed disputes shall be bifurcated where practicable, with each component governed by the applicable law

15.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15.5 Consumer Protection Preservation

Nothing in this Section shall limit any rights you may have under mandatory consumer protection laws of your jurisdiction that cannot be waived by contract, including rights of Minor Users and their legal representatives under the Armenian Civil Code.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, the Community Guidelines, the Business Terms (for Business Users), and any other policies referenced herein, constitute the entire agreement between you and Armchats regarding the Platform.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16.3 Waiver

The failure of Armchats to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without Armchats' prior written consent. Armchats may assign these Terms without restriction.

16.5 Modifications

Armchats reserves the right to modify these Terms at any time. Material changes will be notified via email or prominent notice on the Platform. Continued use after changes constitutes acceptance. For Minor Users, material changes to age-related provisions will require renewed parental consent where applicable.

16.6 Language

These Terms may be translated into other languages for convenience. In the event of any conflict between the English version and any translation, the English version shall prevail.

16.7 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.
