BUSINESS USER TERMS OF SERVICE
Armchats Platform
These Business User Terms of Service ("Business Terms") are a supplemental agreement between you ("Business User," "you," or "your") and Armchats Inc., a Delaware corporation, and its affiliated entities, including Armchats Armenia LLC, an Armenian limited liability company (collectively, "Armchats," "we," "us," or "our").
These Business Terms govern your registration, operation, and maintenance of a business listing on the Armchats platform (the "Platform") through the Armchats Business Application (the "Admin Panel"). These Business Terms supplement the Armchats Terms of Use (the "General Terms"), which you must also accept. Capitalized terms used but not defined in these Business Terms have the meanings given to them in the General Terms.
By registering as a Business User, you accept both the General Terms and these Business Terms.
1. Eligibility
1.1 Age and Legal Capacity
You must be at least eighteen (18) years of age and possess full civil dispositive capacity within the meaning of Article 24 of the Armenian Civil Code to register as a Business User. By registering, you represent and warrant that you are at least 18 years old.
1.2 Authority
If you are registering on behalf of a legal entity (company, partnership, or other organization), you represent and warrant that you have full authority to bind that entity to these Business Terms. References to "you" in these Business Terms include both the individual registrant and the entity on whose behalf registration is made.
1.3 Legal Compliance
You represent and warrant that:
(a) Your business is lawfully registered in the Republic of Armenia or another jurisdiction in which it operates, to the extent required by applicable law;
(b) You hold all licenses, permits, certifications, and authorizations required by Armenian law or the law of your operating jurisdiction to offer the services you list on the Platform;
(c) You are in good standing with all applicable regulatory authorities;
(d) You will maintain these registrations, licenses, and authorizations throughout your use of the Platform, and will promptly notify Armchats if any are suspended, revoked, or expire.
1.4 Prohibited Registrants
You may not register as a Business User if:
(a) You have been previously terminated from the Platform for violation of the General Terms or these Business Terms;
(b) You are prohibited from operating a business under applicable law;
(c) You are subject to sanctions or are located in a jurisdiction from which Armchats cannot lawfully accept registrations.
2. Account and Business Registration
2.1 One Account, Multiple Businesses
Each Business User maintains one account. A single account may manage multiple business listings, but each business operates in an isolated workspace with separate data, listings, and subscriptions.
2.2 Registration Information
During registration and ongoing operation, you must provide:
(a) Identity Information: Your legal name, contact details, and identity verification documents (government-issued identification, selfie for verification);
(b) Business Information: Legal name, registration number, tax identification (where applicable), physical address of each branch or location, contact details;
(c) Verification Documents: Business registration certificate, professional licenses, permits, and certifications applicable to your services;
(d) Public Content: Business name, description, service offerings, photos, logos, banners, pricing information, and availability schedules.
2.3 Accuracy and Updates
You are solely responsible for ensuring all information you provide is accurate, current, and complete. You must promptly update any information that changes. Armchats relies on the accuracy of your information for moderation, display, and consumer trust.
2.4 Verification
Armchats reserves the right to verify any information you provide, including requesting additional documentation. Failure to comply with a verification request within a reasonable timeframe may result in suspension of your listing or account.
3. Business Listing Lifecycle
3.1 Draft State
Upon initial registration, each business listing is in a draft state. During this phase:
- No content is publicly visible
- You may freely edit all business data
- No subscription is required
3.2 Submission and Moderation
When you submit your listing for review, Armchats will evaluate it against Platform standards, including:
(a) Accuracy and legality of information;
(b) Visual and content quality;
(c) Category alignment;
(d) Ethical and regional appropriateness;
(e) Compliance with these Business Terms.
Armchats may approve, reject, or request changes to your listing. Rejection or a request for changes will include a brief explanation. Armchats is not obligated to provide detailed reasoning for moderation decisions.
3.3 Publication (Partner Status)
A business listing becomes publicly visible ("Partner" status) only when both conditions are met:
(a) The listing has been approved through moderation; AND
(b) An active, paid subscription is associated with the listing.
3.4 Ongoing Compliance
After publication, your listing remains subject to ongoing monitoring. Armchats may at any time:
- Re-review your listing for continued compliance
- Request updates to information or documentation
- Suspend visibility pending review
- Unpublish or remove the listing if violations are found
3.5 No Endorsement
Approval of a listing does not constitute endorsement, certification, or guarantee by Armchats. It means only that the listing met Platform standards at the time of review.
4. Subscriptions, Payments, and Billing
4.1 Subscription Requirement
A paid subscription is required for your listing to be visible to Consumer Users. Without an active subscription, your listing will revert to draft or unpublished status.
4.2 Subscription Plans
Armchats offers subscription plans with varying feature limits. Each plan:
- Has defined feature limits (number of branches, services, specialists, images, and other resources)
- Inherits all features available on lower-tier plans
- Enforces limits automatically
Details of current subscription plans, pricing, and features are available on the Platform and may be updated from time to time.
4.3 Billing and Payment
(a) Payment Processor. All payments are processed through Stripe, our third-party payment processor. By subscribing, you agree to Stripe's terms of service in addition to these Business Terms.
(b) Recurring Billing. Subscriptions are billed on a recurring basis (monthly or annually, as selected). By subscribing, you authorize Armchats to charge the applicable fees to your designated payment method at the beginning of each billing cycle.
(c) Currency. Fees are stated in the currency displayed at the time of purchase. Currency conversion fees, if applicable, are your responsibility.
(d) Taxes. You are responsible for all applicable taxes on subscription fees. Armchats will collect and remit taxes where required by law.
4.4 Plan Changes
(a) Upgrades. Plan upgrades take effect immediately. You will be charged a prorated amount for the remainder of the current billing cycle.
(b) Downgrades. Plan downgrades take effect at the beginning of the next billing cycle. If a downgrade results in your listings exceeding the new plan's limits, excess items will be hidden automatically. Older content is preserved; visibility adjusts without deleting data.
4.5 Discount Coupons
Armchats may offer discount coupons from time to time. Coupons:
- Affect price only
- Do not affect visibility, ranking, or feature limits
- May be intended for multi-business campaigns
- Are subject to specific terms stated on the coupon
4.6 Non-Payment
If payment fails or is not received:
(a) We will attempt to notify you via email;
(b) Your listing may be suspended or unpublished after a grace period;
(c) Continued non-payment may result in account suspension;
(d) Unpublished listings due to non-payment will be restored upon payment of outstanding fees.
4.7 Refunds
Subscription fees are generally non-refundable, except:
(a) Where required by applicable law (including Armenian consumer protection law);
(b) Where Armchats terminates your account without cause during an active subscription period, in which case a prorated refund will be issued for the unused portion.
4.8 Fee Changes
Armchats may modify subscription fees upon thirty (30) days' prior notice. Fee changes take effect at the beginning of the next billing cycle following the notice period. If you do not agree with a fee change, you may cancel your subscription before the new fees take effect.
5. Your Obligations as a Business User
5.1 Content Standards
All content you submit to the Platform must be:
(a) Accurate, truthful, and not misleading;
(b) Current and promptly updated when changes occur;
(c) Compliant with all applicable laws of the Republic of Armenia and any other jurisdiction in which you operate;
(d) Original or properly licensed (you must own or have rights to all photos, logos, descriptions, and other materials you upload);
(e) Appropriate for the categories and audiences you designate.
5.2 Service Delivery
You are solely responsible for:
(a) The quality, safety, and legality of services you offer;
(b) Delivering services as described in your listing;
(c) Compliance with all professional licensing and regulatory requirements;
(d) All interactions with Consumer Users, including communications, scheduling, and transactions that occur outside the Platform;
(e) Resolving any disputes with Consumer Users regarding your services.
5.3 Age-Restricted Services
If you offer services that are restricted by law or by Armchats policy to users age 18 and older, you must:
(a) Accurately designate such services as Age-Restricted in your listing configuration;
(b) Not market, promote, or provide Age-Restricted Services to Minor Users;
(c) Verify the age of consumers before providing Age-Restricted Services, to the extent required by applicable law;
(d) Comply with all Armenian laws regarding the provision of age-restricted goods and services to minors.
5.4 Scheduling and Bookings
If you enable scheduling or booking functionality through the Platform:
(a) You are responsible for maintaining accurate availability;
(b) You must honor confirmed bookings or provide reasonable notice of cancellation;
(c) Any cancellation or rescheduling policies must be clearly stated in your listing;
(d) Armchats is not a party to, and does not guarantee, any booking or transaction between you and a Consumer User.
5.5 Pricing
All pricing information displayed on your listing must be:
(a) Accurate and current;
(b) Inclusive of all mandatory fees (or, if additional fees apply, clearly disclosed);
(c) In compliance with Armenian consumer protection law regarding price transparency.
5.6 Prohibited Conduct
In addition to the prohibited activities set forth in the General Terms, Business Users specifically may not:
(a) List services they are not authorized or qualified to provide;
(b) Use bait-and-switch tactics (listing one service and delivering another);
(c) Solicit Consumer Users away from the Platform for the purpose of evading Armchats' terms;
(d) Offer or accept payments in a manner designed to circumvent Armchats' subscription model;
(e) Engage in price-fixing, bid-rigging, or other anticompetitive practices;
(f) Use consumer data obtained through the Platform for any purpose other than fulfilling the consumer's specific request;
(g) Scrape, export, or aggregate Consumer User data from the Platform;
(h) Engage in advertising practices that target minors for Age-Restricted Services, in accordance with Armenian consumer protection reforms prohibiting advertising directed at minors.
Business Users must also comply with the Community Guidelines. Violation of the Community Guidelines constitutes a violation of these Business Terms.
6. Search, Ranking, and Visibility
6.1 Ranking Factors
The Platform uses a combination of structured filters and AI-assisted relevance ranking to display businesses to Consumer Users. Search results may be influenced by:
- Relevance to the consumer's query
- Location and availability
- Subscription tier
- Fairness and diversity mechanisms
- Historical engagement
6.2 No Guarantees
Armchats does not guarantee:
- Approval of your listing
- Any specific ranking position
- Equal exposure relative to other businesses
- Any specific number of views, clicks, or leads
- Any level of bookings, reservations, or revenue
- Consumer behavior or response rates
6.3 Algorithm Modifications
Armchats reserves the right to modify ranking algorithms, display logic, and visibility mechanisms at any time without prior notice. Such modifications do not constitute a breach of these Business Terms.
6.4 No Paid Ranking Manipulation
While subscription tier may influence certain visibility features, Armchats does not sell specific ranking positions. Ranking is determined algorithmically based on the factors described in Section 6.1.
7. Relationship of the Parties
7.1 Independent Contractor
You are an independent contractor. Nothing in these Business Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and Armchats. You have no authority to bind Armchats in any respect.
7.2 Armchats' Role
Armchats is an infrastructure and discovery platform. Armchats' responsibilities are limited to:
(a) Platform availability (within commercially reasonable efforts);
(b) Content moderation processes;
(c) Subscription enforcement;
(d) Data protection obligations under applicable law.
7.3 No Responsibility for Business Outcomes
Armchats does not assume responsibility for your business operations, revenue, customer satisfaction, regulatory compliance, or any other aspect of your business.
8. Intellectual Property
8.1 Your Content
You retain ownership of all Content you upload to the Platform, including your logos, photos, descriptions, and other business materials.
8.2 License Grant to Armchats
By uploading Content to the Platform, you grant Armchats a worldwide, non-exclusive, royalty-free, sublicensable license to:
(a) Display your Content on the Platform, including in search results, business profiles, and AI-generated recommendations;
(b) Reproduce and format your Content as necessary for display across devices and interfaces;
(c) Use your business name, logo, and general description in marketing and promotional materials for the Platform (e.g., identifying you as a listed business);
(d) Store and cache your Content using third-party infrastructure providers (Google Cloud Storage, Cloudflare).
This license continues for as long as your Content remains on the Platform and terminates upon deletion of the Content or your account (subject to reasonable caching and backup periods).
8.3 Your Representations
You represent and warrant that:
(a) You own or have obtained all necessary rights and licenses for Content you upload;
(b) Your Content does not infringe the intellectual property, privacy, or other rights of any third party;
(c) Your Content is not subject to any third-party claims or restrictions that would prevent Armchats from exercising the license granted in Section 8.2.
9. Data and Consumer Information
9.1 Data You Receive
Through the Platform, you may receive certain Consumer User data in connection with inquiries, bookings, or requests (e.g., name, contact information, service preferences).
9.2 Restrictions on Data Use
You may use Consumer User data only for the purpose of:
(a) Responding to the specific consumer inquiry or request;
(b) Providing the service requested by the consumer;
(c) Communicating directly with the consumer regarding the specific transaction.
9.3 Prohibited Data Practices
You may NOT:
(a) Sell or disclose Consumer User data to any third party;
(b) Use Consumer User data for unsolicited marketing, spam, or purposes unrelated to the consumer's original request;
(c) Aggregate, scrape, or export Consumer User data for use outside the Platform;
(d) Store Consumer User data longer than necessary to fulfill the specific transaction;
(e) Process Consumer User data in violation of the Armenian Law on Protection of Personal Data, the GDPR, or other applicable privacy laws.
9.4 Data Protection Compliance
You are responsible for your own compliance with applicable data protection laws in connection with Consumer User data you receive. You agree to process such data in accordance with your own privacy policy, which must be consistent with applicable law.
9.5 Analytics
Armchats may provide you with aggregated, anonymized analytics regarding your listing performance. This data remains the property of Armchats.
10. Indemnification
10.1 Business User Indemnification
In addition to the indemnification obligations set forth in the General Terms, you agree to indemnify, defend, and hold harmless Armchats, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) The services you provide or fail to provide to Consumer Users;
(b) Any personal injury, property damage, or other harm resulting from your services;
(c) Any false, misleading, or inaccurate information in your listing;
(d) Any failure to hold required licenses, permits, or certifications;
(e) Any violation of applicable Armenian law or the law of your operating jurisdiction;
(f) Any dispute between you and a Consumer User;
(g) Any claim that your Content infringes the intellectual property or other rights of a third party;
(h) Any violation of data protection laws in connection with your handling of Consumer User data;
(i) Any provision of Age-Restricted Services to minors.
11. Limitation of Liability
11.1 Incorporation of General Terms
The limitation of liability provisions in the General Terms (Section 12) apply to these Business Terms.
11.2 Business User Liability Cap
For Business Users, Armchats' total cumulative liability for claims arising under or relating to these Business Terms shall not exceed the total amount of subscription fees paid by you to Armchats during the twelve (12) months immediately preceding the event giving rise to the claim.
11.3 Exclusions
Armchats shall have no liability for:
(a) Loss of revenue, bookings, or business opportunities;
(b) Actions or inactions of Consumer Users;
(c) Downtime, ranking changes, or algorithm modifications;
(d) Moderation decisions, including rejection, suspension, or removal of listings;
(e) Third-party payment processing failures (Stripe).
12. Suspension and Termination
12.1 Suspension by Armchats
Armchats may suspend your listing or account at any time if:
(a) You violate these Business Terms or the General Terms;
(b) Your verification documents expire or are revoked;
(c) A consumer complaint or regulatory inquiry requires investigation;
(d) Your payment is overdue;
(e) Armchats reasonably believes suspension is necessary to protect users, the Platform, or Armchats' legal interests.
Armchats will use commercially reasonable efforts to notify you of suspension and the reason, except where immediate suspension is necessary to prevent harm.
12.2 Termination by You
You may terminate your Business User account at any time by:
(a) Canceling your subscription through the Admin Panel;
(b) Initiating account deletion, which requires email confirmation.
Termination by you does not entitle you to a refund of fees already paid, except as provided in Section 4.7.
12.3 Termination by Armchats
Armchats may terminate your account for any reason, including:
(a) Material or repeated violation of these Business Terms;
(b) Fraudulent activity;
(c) Failure to maintain required licenses or authorizations;
(d) Extended non-payment (exceeding 60 days);
(e) Conduct that harms Consumer Users, other Business Users, or Armchats' reputation.
12.4 Effect of Termination
Upon termination:
(a) Your listings are immediately unpublished and become invisible to Consumer Users;
(b) Active subscriptions are canceled (refund provisions per Section 4.7 apply);
(c) Your account data is retained for three (3) months in a scheduled-for-deletion state, during which you may request reactivation;
(d) After three (3) months, data is permanently deleted or anonymized;
(e) Pending consumer bookings or inquiries at the time of termination are your responsibility to fulfill or communicate about directly with the consumers;
(f) Sections 5.2, 8, 9, 10, 11, and 13 survive termination.
13. Governing Law and Disputes
13.1 Incorporation of General Terms
The governing law and dispute resolution provisions in the General Terms (Section 15) apply to these Business Terms, with the following clarifications:
13.2 Armenian Law for Operational Matters
Given that Business Users are expected to be Armenian entities or entities operating in Armenia, all disputes arising from:
- Subscription payments and billing
- Listing content and moderation decisions
- Service delivery and consumer complaints
- Licensing and regulatory compliance
- Day-to-day operational matters on the Platform
shall be governed by the laws of the Republic of Armenia and resolved in the courts of the Republic of Armenia.
13.3 Delaware Law
Disputes relating to intellectual property, Platform ownership, technology licensing, or corporate matters pertaining to Armchats Inc. remain governed by Delaware law and subject to the jurisdiction of Delaware courts, as set forth in the General Terms.
14. Modifications to These Business Terms
Armchats reserves the right to modify these Business Terms upon thirty (30) days' prior written notice sent to your registered email address. If you do not agree with the modifications, you may terminate your account before the modifications take effect. Continued use of the Platform after the effective date of modifications constitutes acceptance.
15. Miscellaneous
15.1 Conflict with General Terms
In the event of conflict between these Business Terms and the General Terms regarding Business User-specific matters, these Business Terms prevail.
15.2 Severability
If any provision of these Business Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15.3 No Third-Party Beneficiaries
These Business Terms do not create any third-party beneficiary rights, except that Consumer Users are intended third-party beneficiaries of your obligations under Sections 5.2, 5.3, 5.4, and 9.
15.4 Notices
Notices to Armchats under these Business Terms must be sent to:

Notices to you will be sent to the email address registered to your account.
15.5 Language
These Business Terms may be translated into Armenian for convenience. In the event of conflict between the English version and any translation, the English version shall prevail.
